This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Astral Space Lab ("Licensor") for the use of SYMBIONT software ("Software"). The product name is always SYMBIONT; STUDIO, COMPLETE, and FELLOW are license tiers, not product names. By installing or using the Software, you agree to be bound by this Agreement.
The Licensor grants you a non-exclusive, non-transferable, revocable license to use the Software subject to the tier you hold:
The Software is distributed as a digital download only. Displayed founding prices are in United States dollars (USD). Current public display and acquisition paths are summarized on the Website (#acquire). The Licensor may revise prices prospectively; a license already purchased keeps the rights of its tier.
Each license is bound to machine(s) identified by hardware fingerprint(s), up to the allowance of your tier: STUDIO and COMPLETE — one (1) machine; FELLOW — up to three (3) machines. To move a binding, contact the Licensor for deactivation and reactivation.
You may not:
The Software and all intellectual property rights therein remain the exclusive property of the Licensor. This Agreement does not grant you ownership of the Software.
You retain full ownership of all audio content you create using the Software. No royalties or attributions are required for your creative output.
All paid tiers (STUDIO, COMPLETE, FELLOW) include perpetual free updates to the SYMBIONT application for the life of that product line under this Agreement, including version increments the Licensor publishes as free updates (typically via digital download). The Licensor may offer separately sold products or modules under different terms; those are not automatic entitlements of this license unless expressly stated (FELLOW early-access benefits remain as described in §1).
The Software is provided "AS IS" without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not warrant that the Software will be error-free or uninterrupted.
The Software can demand high computational resources. Performance depends on your configuration. Recommended minimum:
Sample rate and simultaneous node count trade off. Higher sample rates cost more CPU per node. The maximum node count (256 per graph) is not guaranteed at all rates on all hardware. Trial (and STUDIO up to 192 kHz) can verify your intended rate before purchase or upgrade. Performance shortfalls from this tradeoff or from insufficient hardware are not covered by warranty.
In no event shall the Licensor be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Software, even if advised of the possibility. The Licensor's total liability shall not exceed the amount you paid for the Software license at issue.
This Agreement remains in effect until terminated. The Licensor may terminate it immediately if you breach its terms. Upon termination, you must cease all use of the Software and delete all copies. Refunds, when available, follow the Refund Policy and may deactivate the license.
This Agreement is governed by the laws of Japan. Disputes are subject to the exclusive jurisdiction of the courts of Japan.
The Licensor may modify this Agreement. Material changes will be reflected by an updated date on this page. Continued use after the effective date of changes constitutes acceptance, except where mandatory law requires separate consent.
